Explanatory Note

On April 25, 2025, due to a clerical error a form of e-proxy was filed erroneously identifying Brenda Morris and Jeffrey Lawrence as standing for re-election at the 2025 annual meeting of stockholders. Stockholders should not rely on such filing. Consistent with our proxy statement for the 2025 annual meeting of stockholders, the only person standing for re-election at the meeting is Mark Grabowski.
